Lewtan Technologies, Inc. is willing to provide access to the Global ABS Portal as a service to you on the condition that all of the terms contained in the Global ABS Portal Agreement are accepted. You agree that you are authorized to enter into this Agreement either as an individual or as a representative of the organization for which you work. This Agreement shall be binding upon you and your organization if applicable.

Before clicking on the “Accept” button, you should carefully read the terms and conditions of this Agreement. By clicking on the “Accept” button, you are consenting to be bound by its terms and conditions. If all of the terms and conditions of this Agreement are not agreed upon to, then Lewtan is unwilling to provide access to the Global ABS Portal, in which event the "Decline" button should be clicked and access will not be provided.

Global ABS Portal™ Agreement

Through Lewtan Technologies’ (“Lewtan”) Global ABS Portal, users can access publicly available prospectus and investor reports. Such use is subject to the following terms and conditions:
Lewtan hereby grants you and/or your organization a non-exclusive, non-transferable, revocable access to the Global ABS Portal solely for internal purposes. Notwithstanding the foregoing, except as otherwise permitted by Lewtan in writing, the following are strictly prohibited:

  • Furnishing any information obtained from the Global ABS Portal to any person or firm for reuse or retransmission without the prior written approval of Lewtan;
  • Exporting or downloading a substantial amount of the prospectus or investor reports for the purpose of maintaining a database or other ongoing source separate from the Global ABS Portal ("Systematic Exporting"). Systematic Exporting is prohibited. Lewtan reserves the right to monitor usage patterns to detect Systematic exporting; and
  • Creation of an electronic device to extract prospectus or investor reports en masse.

You warrant that you or your organization is authorized to conduct investment business in the UK by the Financial Services Authority (“FSA”) or equivalent national regulatory body. Lewtan reserves the right to refuse access to the Global ABS Portal if you are not so authorized.

OWNERSHIP

While the prospectus, investor reports and other information accessed via the Global ABS Portal are publicly available, you agree that Lewtan retains all right, title, and interest in and to the Global ABS Portal and all components thereof. You also acknowledge that the Global ABS Portal constitutes a valuable asset and contains trade secrets, copyrights, trademarks, and other proprietary interests of Lewtan.

PROPRIETARY RIGHTS

You agree that while the documents, including information and data contained therein, accessed via Global ABS Portal are derived from sources believed to be reliable, Lewtan can not guaranty their correctness or completeness. You expressly agree that Lewtan shall not be held liable for any damages or other expenses of any kind suffered by you as a result of the use of inaccurate data or information obtained through the Global ABS Portal.

You agree to abide by and shall not remove the terms of all disclaimers and legends or any copyright or other intellectual property notices that accompany the documents or other information accessed via the Global ABS Portal.

WARRANTY DISCLAIMER

LEWTAN MAKE NO REPRESENTATIONS, WARRANTIES, AGREEMENTS, OR GUARANTEES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY REPRESENTATIONS OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE FOR THE DOCUMENTS, INFORMATION OR DATA CONTAINED IN THE GLOBAL ABS PORTAL AND THE ACCURACY OR COMPLETENESS THEREOF.

LIMITATION ON LIABILTY

LEWTAN SHALL UNDER NO CIRCUMSTANCES BE RESPONSIBLE FOR DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, RESULTING FROM THE USE OF THE GLOBAL ABS PORTAL, THE ACCURACY OR COMPLETENESS OF ANY DOCUMENTS, INFORMATION OR DATA CONTAINED THEREIN; YOU OR YOUR ORGANIZATION'S INABILITY OR FAILURE TO CONDUCT YOUR ORGANIZATION'S BUSINESS; OR OTHER DAMAGES RELATING TO YOUR USE OF GLOBAL ABS PORTAL EVEN IF LEWTAN HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. LEWTAN SHALL NOT BE RESPONSIBLE FOR OR HAVE ANY LIABILITY FOR ANY DELAYS, INTERRUPTIONS OR OMISSIONS IN PROVIDING THE GLOBAL ABS PORTAL FROM WHATEVER CAUSE. YOU EXPRESSLY ACKNOWLEDGE THAT SUCH DELAYS, INTERRUPTIONS AND OMISSIONS MAY OCCUR.

GENERAL

Lewtan may immediately terminate this Agreement at any time if it has been materially breached. You agree to abide by all state, federal, and international import/export and tax laws or regulations regarding internet use and software distribution. You agree that this Agreement is governed by the laws of the Commonwealth of Massachusetts, USA without regard to its conflict of law provisions.
